Service terms

Effective 30 August 2026 · Version 0.9 launch draft

Business review required before public launch

These terms reflect the agreed operating model. They are not presented as solicitor-approved terms and remain a controlled launch draft while the site is owner-only.

These terms apply to business-to-business services supplied through Subcontract Compass. Any booking confirmation or agreed bespoke scope takes priority if it expressly differs from these terms.

1. Who we are

Subcontract Compass is a trading service provided by Stag Consultancy and Investment Ltd, a company registered in England and Wales under company number 10812149. Our registered office is 39 Ludgate Hill, London, England, EC4M 7JN.

2. Business customers only

Our services are supplied only to businesses and people acting wholly or mainly for business purposes. By submitting an instruction, you confirm that you are authorised to act for the relevant business and that you are not purchasing as a consumer.

3. The standard review

The standard fixed-price service is a commercial review of one UK subcontract for one project, based on the documents supplied. It normally includes an executive summary, clause-by-clause issue register, comparison with the quotation or stated expectations, risk priorities, recommended actions and one 45-minute Microsoft Teams consultation.

Negotiation support, drafting, live-contract support, disputes, claims, adjudications, multiple contracts, unusual document volumes or urgent work are outside the standard scope unless agreed separately in writing.

4. Submission, scope check and booking

Submitting the website form is a request for service and does not create a booking. We first check whether the document pack is complete and whether the assignment falls within the standard review.

A booking is formed only when we confirm the scope in writing and receive cleared payment. Until then, no delivery period has started and we are not obliged to begin the review.

5. Fees and payment

The standard review fee is £695 plus VAT, payable in full before booking. Any revised scope, additional work or different fee must be agreed in writing. The client is responsible for ensuring that invoice and accounts information is accurate.

6. Timing

Our typical delivery period is 2–3 working days after the booking is confirmed. This is a service target rather than a guaranteed deadline unless we expressly agree a fixed delivery date in writing. Delivery may be affected by missing, amended or unclear information, unusually complex documents or matters outside our reasonable control.

7. Client responsibilities

You must provide a complete and accurate document pack, including the proposed subcontract, conditions, schedules, scope, quotation, qualifications, programme and relevant correspondence. You must tell us about signing deadlines, work already started, active disputes and material changes.

You remain responsible for checking the final contract documents, deciding whether to enter into the subcontract and implementing notices, records and commercial controls on the project.

8. Commercial advice, not legal advice

Our work is a commercial assessment based on construction and commercial-management experience. It is not legal advice, a legal opinion, insurance advice or a substitute for advice from a solicitor, barrister, broker, tax adviser or other regulated professional.

If an issue requires legal interpretation, litigation advice, adjudication strategy or another regulated service, we may recommend that you obtain specialist advice.

9. Reliance and use

The review is prepared solely for the named client, project, subcontract and documents identified in the booking. It must not be relied upon for another contract or by a third party without our written agreement. We are not responsible for documents or facts that were not supplied, were inaccurate or changed after the review.

10. Confidentiality and documents

Each party will keep the other party’s confidential information secure and use it only for the assignment, legal compliance and normal business administration. We may use secure hosting, email, accounting and professional-service providers subject to appropriate confidentiality and data-protection arrangements.

11. Intellectual property

We retain ownership of our methods, templates, know-how and underlying materials. Once all fees are paid, the client receives a non-exclusive licence to use the issued report and schedules internally for the identified project. The client must not resell, publish or adapt the material as a service for others.

12. Cancellation and termination

If you cancel before we confirm the booking, any payment received will be refunded. Once the booking is confirmed and work has started, we may charge for the work completed and committed time, up to the agreed fee. We may suspend or terminate work for non-payment, abusive conduct, conflicts, illegality or a material failure to provide required information.

13. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, we are not responsible for indirect or consequential loss, loss arising from a client’s commercial decision, failure to follow recommendations, or reliance on incomplete or changed information.

Any limitation of liability must be interpreted subject to applicable law and the requirement of reasonableness. This launch draft should be reviewed by the business before public release.

14. Data protection

Personal information is handled in accordance with our privacy notice. You confirm that you are authorised to provide personal information and project documents included in the submission.

15. General

If part of these terms is unenforceable, the remainder continues. A delay in enforcing a right is not a waiver. No third party has a right to enforce these terms. These terms and the written booking confirmation form the agreement for the assignment.

16. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
