The problem we solve

Your quotation says one thing.
Their subcontract says another.

Standard subcontract terms are written to protect the main contractor. They can quietly extend payment, transfer design responsibility, override your qualifications and make you carry risks you never priced.

We translate the contract into plain commercial language: what changed, why it matters, what to push back on and how to manage what remains.

A subcontract, quotation and issue schedule being reviewed together

What actually gets reviewed

The subcontract is only one side of the deal.

We read the main contractor's order alongside the commercial position you priced. That comparison is where the important changes become visible.

The core service

A complete commercial position.
Not a generic contract summary.

Everything you need to understand the risk, brief your team and respond confidently.

01

Executive summary

The headline risks and non-negotiable points, written for directors.

02

Clause-by-clause schedule

Clause references, issue commentary, risk rating and recommended action.

03

Quotation comparison

Where the order changes or overrides your price, scope and qualifications.

04

Commercial positions

Clear wording and a practical strategy for the points you should challenge.

05

Director consultation

A focused 45-minute call to explain the risks and agree your next move.

What we look for

The clauses that cost subcontractors money.

01

Payment

Longer cycles, pay-less machinery, retention and conditions that delay cash.

02

Design

Design responsibility and PI obligations quietly stepped down to your business.

03

Delay

Responsibility for other trades, fragmented working and programme risk you cannot control.

04

Scope

Qualifications, exclusions and supply responsibilities overridden by standard terms.

05

Change

Variation, instruction and daywork procedures that make additional work difficult to recover.

06

Liability

Indemnities, warranties and uncapped exposure that may sit outside your insurance.

Why director-led matters

Commercial judgement, not a tick-box scan.

A clause only matters when you understand how it will be used on a live construction project. Our reviews are led by commercial experience: valuation, variation, programme, design, entitlement and dispute risk.

We are not a law firm and we do not pretend every issue needs a lawyer. We give you the practical commercial position first, and flag precisely where legal advice is genuinely needed.

“Even if they will not negotiate, you need to know what they are stepping down to you. If you do not know the risk, you have no chance of managing it.”

How it works

From contract pack to clear position.

1

Send the pack

Your subcontract order, associated documents, quotation, qualifications and standard terms.

2

Confirm scope and payment

We check the complete pack, confirm the scope and issue the invoice. Booking starts only after cleared payment.

3

Get your report

We review the agreed pack and issue your executive summary, issue register and recommended actions, typically 2–3 working days from booking.

4

Agree the strategy

Book your consultation with Chris to prioritise the response and plan the next move.

Support beyond the review

Use the report—or bring us directly into a live problem.

Negotiation, mobilisation, live-project and recovery work sit outside the £695 review and are always scoped and priced separately. If the contract is already signed or the works have started, you can come straight to us without buying the initial review.

What do you need from us?+

The subcontract order and all documents that form part of it, together with your quotation, qualifications and standard terms.

How quickly will we receive the review?+

Typical delivery is 2–3 working days from booking confirmation, after the complete document pack and cleared payment have been confirmed.

What does the £695 + VAT include?+

A director-led review, executive summary, detailed risk schedule, recommended commercial positions and a 45-minute consultation.

What if the main contractor says the terms are non-negotiable?+

You still need to understand what has changed and how it affects you. We help you decide what to challenge and how to manage any risk that remains.

Can you negotiate with the main contractor for us?+

Yes. Negotiation support is scoped separately after the initial review because the time and complexity vary from contract to contract.

Can you stay involved once the subcontract is signed?+

Yes. We can help set up the commercial controls, provide periodic oversight or step in on a particular payment, variation or final-account problem.

Can we come to you if the contract is signed or the works have started?+

Yes. You can come directly to us with a live-project problem, payment issue, variation account, final account or dispute. You do not need to purchase the £695 pre-signature review first.

Does the £695 fee include negotiation or ongoing project support?+

No. The £695 plus VAT fee covers only the pre-signature review, report and 45-minute consultation. Negotiation, mobilisation, live-project and recovery work is always discussed and priced separately before it begins.

Is this legal advice?+

No. This is practical construction-commercial advice. Where a point requires formal legal advice, we will tell you clearly.
